Constituting a foreign company answers whether the entity exists. It does not establish how that company will pay its first costs or whether the proposed funding is coherent.

Incorporation is not funding

The decision to create an entity and the decision about how it will be funded are related, but distinct. Different forms of funding can produce different commercial, legal, tax, accounting, banking and regulatory consequences.

For that reason, the funding model should be considered as part of the structure before implementation.

The foreign company also needs a genuine commercial role. Its licence, contracts, management and expected activity should support the explanation given to institutions. The Angolan company’s continuing role should remain visible and credible.

Professional confirmation remains essential

Angolan foreign-exchange instruments, company law, tax rules and bank requirements may affect the arrangement. The relevant commercial bank and appropriately licensed specialists must confirm their application to the proposed transaction and structure.

The structure should not be implemented until the relevant bank and appropriately qualified specialists have confirmed the regulated and professional conclusions on which it depends.
